Description of the SERVICE:
The SERVICE consists to ensure within COMPANY contract activities the safety and defence of COMPANY and promote its interests.
b) Specific Activities:
1. General:
�� Provide legal opinions and aid decision-making by the analysis and assessment of legal risks and by advocating optimized and appropriate solutions,
�� Analyze and interpret Nigerian statutory and regulatory texts, contractual agreements, at draft stage or in force, that affect or could affect OFON2 Project performance and in particular signed contracts (refer to “change in law” clauses). Provide advice on the interpretation and application/enforcement of such texts in connection with OFON2 Project contract management and TEPNG legal department.


2. Concerning EPC contracts:
�� Assist contract engineers/administrators in EPC contracts contractual follow-up and administration by
o the analysis and assessment of legal risks (review of contractors’ correspondences, change order requests and/or claims, preparation of COMPANY’s correspondences, minutes of meeting, etc.)
o the review/assessment/confirmation of contractors’ compliance with contractual and legal obligations and duties
o take part in meetings, negotiations, and the like as may be required
�� Anticipate needs, alert, advise and propose appropriate solutions
�� Advise and assist COMPANY in pre-litigation phases
�� Advise and assist COMPANY in litigation cases and direct the settlement process
3. Concerning other contractual matters:
�� Advise and assist COMPANY in devising contractual schemes legally and economically suited to the situation
�� Assume the role of secretary in meetings if and when necessary

1.2 The SERVICE shall be performed:
• For an initial period (1 to 3 months) in Paris area, France.
• Then in TEPNG offices in Nigeria, in Port Harcourt area and involves several visits to COMPANY locations for the collection of information and co-ordination meetings at the COMPANY's request.
